4. Client Responsibilities
Clients agree to:
- Provide accurate information and materials
- Approve deliverables within agreed timelines
- Provide necessary access credentials where required
- Ensure submitted content does not violate any laws or intellectual property rights
Delays in approvals or content may affect delivery timelines.
5. Pricing & Payments
- Prices are communicated before project confirmation.
- Advance payment may be required.
- Work may begin only after payment confirmation.
- Delayed payments may pause service delivery.
- Applicable taxes (including GST, where applicable) may be charged separately.
6. Refund Policy
Unless otherwise agreed in writing:
- Payments made for completed work are non-refundable.
- Advance payments for started projects are generally non-refundable.
- Refund decisions for exceptional cases remain at Company discretion.
Advertising platform spend (Meta, Google, etc.) is non-refundable once used.
7. Revisions
Projects may include revisions as defined in the selected package.
Additional revision requests beyond scope may incur extra charges.
Unlimited revisions do not include complete redesigns, strategy changes, or scope expansion. Humans do enjoy discovering new ideas after approval. The invoice usually notices.
8. Intellectual Property
Client-Owned Materials
Clients retain ownership of content they provide.
Company Deliverables
Final deliverables become client property only after full payment unless otherwise agreed.
Brandup Solution may showcase completed work in portfolios unless confidentiality is agreed in writing.
9. Marketing Results Disclaimer
We aim to deliver professional services but do not guarantee:
- Specific sales numbers
- Leads quantity
- Search rankings
- Revenue outcomes
- Viral growth
Marketing involves variables outside direct control.
10. Website & Platform Usage
Users must not:
- Attempt unauthorized access
- Upload malicious content
- Violate applicable laws
- Misuse website forms or communications
We reserve the right to suspend access where misuse occurs.
11. Third-Party Platforms
Services may involve third-party tools and platforms including:
- Meta
- Hosting providers
- Analytics providers
- CRM tools
Their terms and policies also apply.
12. Limitation of Liability
Brandup Solution shall not be liable for:
- Indirect damages
- Loss of profits
- Business interruption
- Data loss
- Third-party platform actions
Maximum liability shall not exceed the amount paid for the relevant service unless required by law.
13. Confidentiality
Both parties agree to keep confidential information private unless disclosure is legally required.
14. Termination
We may suspend or terminate services if:
- Payment obligations are not fulfilled
- Terms are violated
- Fraudulent or unlawful activity is detected
Outstanding dues remain payable.
15. Governing Law
These Terms shall be governed by and interpreted under the laws of India.
Any disputes shall be subject to the jurisdiction of the appropriate courts in Maharashtra, India.
16. Changes to Terms
Brandup Solution reserves the right to update these Terms at any time. Updated versions will be published with the revised effective date.
